1. ACCEPTANCE OF TERMS
By accessing or using SavyProp ("Company," "we," "us," or "our") services, including our web application for real estate document processing and data extraction (the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.
2. DESCRIPTION OF SERVICE
2.1 Core Services: Document upload capabilities for real estate-related files (PDF, Excel, Word, images, and text formats); AI-powered data extraction and analysis; Automated extraction of lease and sales comparables; Property name recognition and smart address resolution; Secure storage and organization; Private database access.
2.2 Technology: The Service utilizes proprietary artificial intelligence technology and advanced algorithms. All processing occurs on our secure backend infrastructure.
3. USER REGISTRATION AND ACCOUNTS
3.1 Account Creation: Must be 18+ years old, provide accurate information, have legal capacity to enter contracts, not be prohibited under applicable laws.
3.2 Account Security: You are responsible for maintaining confidentiality, all account activities, and notifying us of unauthorized use.
3.3 Account Termination: We reserve the right to suspend/terminate accounts that violate Terms, remain inactive, or engage in fraudulent activities.
4. PERMITTED USE AND RESTRICTIONS
4.1 Permitted Use: Legitimate real estate business purposes; Processing documents you have legal rights to; Lawful data extraction and analysis.
4.2 Prohibited Uses: Uploading documents without legal rights; Illegal purposes; Reverse engineering; Disrupting service; Circumventing security; Automated data extraction; Reselling service; Uploading malicious code; Violating laws; Processing unauthorized personal information; Accessing other users' data; Exceeding usage limits.
5. DOCUMENT UPLOAD AND PROCESSING
5.1 User Responsibilities: You warrant having all necessary rights, documents contain no illegal content, compliance with privacy laws, freedom from malware.
5.2 Processing Limitations: File size limits apply; Some formats unsupported; Processing times vary; Accuracy not guaranteed.
5.3 Document Retention: We retain documents for processing; You may delete anytime; Anonymized metadata may be retained.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Service Ownership: All software, algorithms, AI models, interface, trademarks, and documentation remain our exclusive property.
6.2 User Content: You retain ownership but grant us limited license to process, store, display, and backup.
6.3 Extracted Data: You own extracted data; We claim no ownership; You grant storage/display license.
6.4 Feedback: Any suggestions become our property without compensation.
7. PRIVACY AND DATA PROTECTION
7.1 Privacy Policy: Subject to our Privacy Policy (incorporated by reference).
7.2 Data Security: Industry-standard measures including encryption, secure infrastructure, regular audits, access controls.
7.3 Data Processing: Secure server processing using proprietary technology in compliance with laws.
8. PAYMENT TERMS
8.1 Subscription Fees: Billed per selected plan; Due in advance; Non-refundable except as required by law.
8.2 Price Changes: 30 days' notice for modifications; Continued use constitutes acceptance.
8.3 Taxes: You're responsible for applicable taxes (excluding our net income taxes).
9. SERVICE USAGE AND LIMITATIONS
9.1 Usage Limits: Rate limiting may apply; Monthly quotas per plan; Excessive usage may result in suspension.
9.2 Fair Use: We reserve rights to impose reasonable limits for service quality.
10. WARRANTIES AND DISCLAIMERS
10.1 Service Warranty: PROVIDED "AS IS" WITHOUT WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, NON-INFRINGEMENT, ACCURACY.
10.2 No Guarantee: No guarantee of uninterrupted service, data accuracy, compatibility, or specific results.
10.3 Professional Advice: Service does not constitute professional real estate, legal, financial, or investment advice.
11. INDEMNIFICATION
You agree to indemnify and hold harmless the Company from claims arising from: Your use of Service; Terms violations; Rights violations; Uploaded content; Your misconduct.
12. LIMITATION OF LIABILITY
12.1 Damages Limitation: NO LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR LOST PROFITS. MAXIMUM LIABILITY: FEES PAID IN 12 MONTHS.
12.2 Essential Purpose: Limitations apply regardless of legal theory or knowledge of damages possibility.
13. DISPUTE RESOLUTION
13.1 Governing Law: Texas law governs without conflict principles.
13.2 Arbitration: Binding AAA arbitration (except small claims).
13.3 Class Action Waiver: No class actions or arbitrations.
14. MODIFICATIONS TO SERVICE AND TERMS
14.1 Service Changes: We may modify/discontinue any aspect anytime.
14.2 Terms Updates: Material changes notified; Continued use constitutes acceptance.
15. GENERAL PROVISIONS
15.1-15.7: Entire Agreement; Severability; No Waiver; Assignment restrictions; Force Majeure; Export Compliance; Survival of provisions.
16. SPECIFIC PROVISIONS FOR REAL ESTATE DATA
16.1 Data Accuracy: Always verify extracted comparables and property details.
16.2 Compliance: Your responsibility for real estate regulations, fair housing, MLS rules, brokerage requirements.
16.3 Confidentiality: Respect obligations for client information, proprietary data, non-public transactions.
